The Registrar of Companies and Official Receiver of Cyprus, for the purposes of updating the Register of Companies, decided to proceed with the liquidation of the inactive companies. A company is deemed to be inactive if it fails to:

  • deliver the annual returns with the financial statements upto 2013 and/or
  • pay the annual levy upto 2014 for the amount of EURO 350 per annum.

Failure to file the annual return upto 2013

In accordance with the provisions of the Article 327 of the Companies Act, a company is deleted from the Register of Companies following the below procedure:

  • First letter – send via post

Time allowed for response by the company – one month

  • Second letter – send via registered mail

The Second letter will be sent within 14 days if there is no response by the company to First letter (after the lapse of the one month period).

Time allowed for response by the company – one month

  • Cyprus Government Gazette publication

If there is no response from the company to the Second letter within a month, a publication will be done to the Cyprus Government Gazette for the closing of the company and at the same time the Third letter shall be sent via post to the company (notice of dissolution).

Time allowed for response by the company to the Third letter – 3 months

Thus the estimated time for the final liquidation of the company is about 5 months.

The above procedure to delete the company from the Register may, at any time within that period, be terminated by the response of the company and delivery of all the pending documents at the Registrar of Companies.

Failure to pay the levy:

In accordance with the provisions of under the Law 190(I)/2012 as from June 2011 all companies registered with the Registrar of Companies in Cyprus, have to pay by 30th June in every year, an annual levy in order to be considered in good standing and for their name to be retained on the register maintained by the Companies registry. In case a company delays to pay the levy as stated above but proceed with the payment within:

  • two (2) months from the due date, a penalty of 10% is imposed;
  • five (5) months from the due date, an additional penalty of 30% is imposed;

Despite the above provisions, in case a company will not comply with the payment of the levy and any penalties which might occur, the Cyprus Registrar of Companies will strike off the company from its record in accordance with the provisions of the Cyprus Company Law.
